【Careful Reading】 Before you click to agree to this agreement during the application process for the B.C.C Membership Card, you should read this agreement carefully. Please be sure to carefully read and fully understand the contents of each clause, especially clauses that exempt or limit liability, and clauses regarding applicable law and dispute resolution. 【Action of Agreement】 When you read and agree to this agreement according to the instructions on the B.C.C Membership Card activation page and complete the entire activation process, it means that you have fully read, understood, and accepted all the contents of this agreement, have reached an agreement with BaiGolf, and have become a B.C.C Membership Card member. During the process of reading this agreement, if you do not agree to this agreement or any of its terms, you should immediately stop the activation process.
【Scope of Agreement】 This agreement is jointly signed by you and BaiGolf, serves as a supplement to the BaiGolf User Service Agreement, and forms a unified whole with the "BaiGolf User Service Agreement". The content of this agreement includes the body of the agreement and all service terms and rules that BaiGolf has already published and that apply to all member users; in the future, BaiGolf will continue to improve relevant service terms and rules based on this agreement and publish them in accordance with legal procedures. All terms and rules are an integral part of the agreement and have the same legal effect as the agreement.
I. Definitions
1.1 BaiGolf Member: Refers to a user who complies with the "BaiGolf User Service Agreement", BaiGolf platform rules, and other agreements and rules, and has full capacity for civil conduct; BaiGolf member services are provided to users by the domain name baigolf.com.
1.2 B.C.C Membership Card Member: Refers to a BaiGolf member who has good transaction and usage records on baigolf.com, meets the service activation conditions, independently chooses to sign this agreement, and pays the corresponding fees according to the fee standards displayed in the B.C.C Membership Card activation process to obtain special member identity qualifications (the actual name is subject to the activation process and front-end page display).
1.3 B.C.C Membership Card Benefits: Refers to the exclusive member benefits enjoyed by users who activate the B.C.C Membership Card service, including various exclusive benefits within the platform created by BaiGolf for the "B.C.C Membership Card Member" identity system, and co-branded cooperation benefits (hereinafter referred to as "third-party benefits") jointly created with BaiGolf's ecological businesses, brand merchants, partners, and other third parties (hereinafter referred to as "third parties"). Among them, exclusive benefits within the BaiGolf platform include but are not limited to granting you the "B.C.C Membership Card Member" identity logo, exclusive discounts/coupon discounts/BaiGolf points rebates/gift eligibility for purchasing specific products, exclusive points redemption and/or deduction eligibility for promotional activities, and exclusive customer service benefits; third-party co-branded cooperation benefits include but are not limited to exclusive benefits and/or activity eligibility provided to you by third parties based on your B.C.C Membership Card member identity. You can view specific benefit content through "BaiGolf APP - Member Center - baigolf club". In order to provide members with better services and ensure their service experience, BaiGolf will, based on its own and third parties' business development, from time to time optimize, replace, upgrade, and iterate the current benefit content, continuously develop and innovate the types and content of member benefits, and continuously improve the service content. Unless otherwise specified, all newly added and updated benefits are subject to the relevant provisions of this agreement. Updates and adjustments to benefits will be notified and announced through the above service page, please pay attention.
1.4 B.C.C Membership Card Member Service: Refers to the various services provided by BaiGolf to users to ensure that users obtain or use the benefits of the B.C.C Membership Card.
II. Activation of B.C.C Membership Card Service
2.1 The B.C.C Membership Card service is only open to users with good transaction and usage records. You can check whether you meet the service activation conditions through the "Member Center". Before you successfully activate (including renewal and reactivation), the choice between you and BaiGolf is mutual; you have the right to choose whether to activate, and BaiGolf also has the right to choose to accept or reject your activation application.
2.2 You should ensure that throughout the activation and use of the B.C.C Membership Card service, you always have full capacity for civil rights and full capacity for civil conduct, and ensure that you have the actual ability to sign and perform the rights and obligations under this agreement.
2.3 Before activating the B.C.C Membership Card service, you need to complete the registration or login of your BaiGolf membership. Please use your real name to confirm your subject identity information and complete payment to ensure your rights and interests.
2.4 When you apply to activate the B.C.C Membership Card service, you need to pay the corresponding membership service fee as prompted on the page before activation can be completed. Based on benefit adjustments, market and business development, BaiGolf may adjust the membership service fee required for activating the B.C.C Membership Card service, or provide you with value-added services related to member benefits, and may charge fees for value-added services. Adjustments to membership service fees take effect from the date of publication. Your B.C.C Membership Card service activated before the effective date will not be affected. However, if you need to renew after the expiration of this B.C.C Membership Card service, you will need to pay according to the adjusted and effective fee standard. Before charging for value-added services, BaiGolf will notify you of the specific standards in an appropriate manner, and you have the right to choose to refuse the value-added projects that are charged.
2.5 If you renew your current B.C.C Membership Card service before its expiration date, you may apply to BaiGolf for a refund of the renewal fee at any time after the renewal is completed and before the next service period officially takes effect.
2.6 To provide you with a better member experience, after you successfully activate the B.C.C Membership Card service, during the validity period of the service, BaiGolf will disclose your B.C.C Membership Card member identity to the public on pages within the BaiGolf platform such as reviews and interest circles, using methods such as the B.C.C Membership Card exclusive identity logo.
III. Use of B.C.C Membership Card Service
3.1 The validity period of the B.C.C Membership Card service is 365 days, calculated from the date of service activation. If you wish to continue enjoying the B.C.C Membership Card service after the expiration of the validity period, you need to renew or reapply. During the valid period of the member service, various member benefits may have special validity periods based on their own characteristics, subject to the specific usage rules (if any) of each member benefit.
3.2 In addition to the special validity periods mentioned above, the various member benefits of the B.C.C Membership Card may have special specific usage rules (if any) set based on their benefit characteristics in terms of issuance, acquisition, use, and consumption. These specific rules constitute special supplementary agreements for the corresponding types of B.C.C Membership Card benefits under this agreement, are an effective part of this agreement, and in case of inconsistencies with this agreement, the provisions of such rules shall prevail.
3.3 For the third-party co-branded cooperation benefits among the B.C.C Membership Card benefits, the entity actually providing the corresponding benefits, products, functions, or services is the third party. Based on the legal authorization of the third party, BaiGolf displays the benefit content introduction on the corresponding service page in the "Member Center":
3.3.1 The use of some third-party co-branded cooperation benefits requires you to activate or bind your user account with the third party. You can follow the instructions on the benefit page to perform the corresponding operations. If you fail to complete the corresponding operations, resulting in your inability to use such benefits, it shall not be deemed a breach of contract by BaiGolf, and BaiGolf is not obligated to provide you with any refund or service compensation because you did not enjoy such services.
3.3.2 What BaiGolf provides to you is the eligibility to obtain third-party co-branded cooperation benefits, not the third-party benefits themselves. As the actual provider of such benefits, please understand that the service agreements and/or rules (such as product transaction orders, etc.) related to such benefits are reached between you and the third party. BaiGolf is not authorized by this agreement to provide authorization, service guarantees, or customer support for the provision and use of third-party benefits, nor can it make any promises or guarantees regarding the stability, continuity, or effectiveness of such third-party benefits. Based on the professionalism and independence of the services or content provided by BaiGolf and the third party respectively, if you have any questions or needs regarding the acquisition of the third party's B.C.C Membership Card co-branded exclusive benefits, you may contact BaiGolf for consultation and communication, and BaiGolf will actively coordinate to resolve the issue; if you have any questions or needs regarding the use of the actual benefit content after obtaining the third-party benefit eligibility, you may directly contact the third party. For disputes arising from your use of third-party content, you may directly negotiate with the third party for resolution.
3.3.3 To better provide you with services, BaiGolf and its cooperating third parties will process information related to you according to the following rules:
(1) BaiGolf will provide cooperating third parties (subject to the display on the "Member Center" page) with your status regarding the activation of the B.C.C Membership Card service (such as whether activated and activation time), so that the third party can determine whether you meet the conditions for obtaining third-party co-branded benefits and promptly remind you to use, operate to obtain benefits, or proactively issue benefits to you based on the judgment result.
(2) BaiGolf will provide your limited relevant information to the third party based on the specific authorization you provide to the third party in the agreement reached with the third party and the "Privacy Policy", and in accordance with the principles of necessity and minimum scope for the third party to provide services to you. If you do not want the third party to obtain your information, you may stop using the third-party service, and BaiGolf will stop transmitting your information to the third party based on the third party's notification.
(3) BaiGolf will collect the phone number, third-party account, activation/binding status you fill in/bind to obtain third-party co-branded cooperation benefits, and collect from the third party information about your use/consumption of such third-party co-branded cooperation benefits, including the status of receiving promotional benefits such as red packets (e.g., verification status, amount), so that you can obtain third-party co-branded cooperation benefits through the "Member Center", understand the benefit acquisition/usage status, coordinate and resolve questions or needs arising from the acquisition/use of third-party co-branded benefits for you, and perform security verification.
3.4 To improve user experience, BaiGolf will update and modify the B.C.C Membership Card and/or its related services, functions, interfaces, etc., including developing new functions, deleting old functions, etc. Unless otherwise specified, the changed services and functions are still subject to the relevant provisions of this agreement.
3.5 The B.C.C Membership Card service and member benefits are for your personal use only. Specific use may require your BaiGolf member account used to activate the B.C.C Membership Card or other third-party accounts bound to that BaiGolf member account. Based on the need to maintain service order and protect user rights, BaiGolf will activate a security usage verification mechanism after you obtain third-party co-branded cooperation benefits and will periodically send you a security verification process. After you log in to "BaiGolf APP - My BaiGolf - Member Center" using your BaiGolf member account used to activate the B.C.C Membership Card according to the verification process prompts and pass the verification, you can normally use the corresponding third-party co-branded cooperation benefits. The account used to activate the B.C.C Membership Card service or obtain B.C.C Membership Card benefits (including the BaiGolf member account and third-party account) serves as an important identity identifier for you to enjoy the corresponding services and benefits. The username, password, and biometric features (if any) are set and kept by you.
3.6 Your BaiGolf member account or the account you open with a third party is closely linked to your B.C.C Membership Card benefits and eligibility. Allowing others to use it may adversely affect your use of the benefits. Therefore, BaiGolf requests that you do not lend your account to others; from a fair and reasonable perspective, you should be aware that all operations implemented through this account can only be defaulted by BaiGolf as your own actions, and the resulting consequences shall be borne by you and the actual user.
3.7 [Improper Use of Member Service] You ensure that you will use the B.C.C Membership Card service reasonably, not use the B.C.C Membership Card service for profit or illegal gain, not transfer or assign the B.C.C Membership Card service or B.C.C Membership Card benefits you enjoy in any form, and not lend the B.C.C Membership Card service or B.C.C Membership Card benefits to others in any way. If BaiGolf has reasonable grounds to suspect that you have engaged in any improper use of the member service, BaiGolf will cancel your B.C.C Membership Card eligibility and reclaim the B.C.C Membership Card benefits already issued, and you shall not demand that BaiGolf refund the membership service fees you have paid. You shall be responsible for your improper use of the member service and its consequences (including losses). If you cause losses to BaiGolf, BaiGolf has the right to seek compensation from you.
3.8 [Breach of Good Faith] You guarantee that you will abide by the principle of good faith in the process of obtaining and using the B.C.C Membership Card service. If BaiGolf reasonably suspects that you have any of the following circumstances, you may face rejection of your application for activation of the B.C.C Membership Card service, termination or suspension of the already activated B.C.C Membership Card service, and cancellation or suspension of all/part of the bound or obtained B.C.C Membership Card benefits, and you shall not demand a refund of the paid membership service fees (if any):
(1) Activating the B.C.C Membership Card service through any improper means or in a manner that violates the principle of good faith, such as maliciously bypassing the normal activation process;
(2) Using goods or services obtained with B.C.C Membership Card benefits not for personal consumption or use;
(3) Other acts that violate the principle of good faith.
3.9 You acknowledge and agree that to ensure you fully enjoy the B.C.C Membership Card service and avoid missing out on high-quality member benefits, BaiGolf may provide you with member benefit-related information through messages, notifications, SMS, etc.
IV. Termination of B.C.C Membership Card Service
4.1 If you do not renew or re-activate after the expiration of the validity period of the B.C.C Membership Card service you purchased, the B.C.C Membership Card service terminates, and the corresponding B.C.C Membership Card benefits become invalid.
4.2 You should understand that using the B.C.C Membership Card service in accordance with this agreement and related rules, respecting the usage restrictions of the B.C.C Membership Card service, and fulfilling your obligations under this agreement are prerequisites for your use of the B.C.C Membership Card service. If you violate the relevant provisions of this agreement, BaiGolf will choose to suspend, terminate, or rescind this agreement based on your actual breach of contract.
4.3 You acknowledge and confirm that as consideration for the membership service fees you pay, once the B.C.C Membership Card is activated and enters the current service validity period, the entire set of member application software products and systems that BaiGolf has invested in and built based on the B.C.C Membership Card system are delivered and effective immediately, and the B.C.C Membership Card benefit content is continuously supplied. The overall costs and efforts incurred by BaiGolf for this are inseparable. If the B.C.C Membership Card service is terminated or suspended due to the following circumstances, you shall not demand a refund of part or all of the membership service fees:
(1) You fail to use the corresponding member benefits services in a timely manner for your own reasons, or voluntarily give up using the member benefits;
(2) BaiGolf cancels your account or terminates your BaiGolf membership in accordance with the "BaiGolf Platform Service Agreement", BaiGolf platform rules, this agreement, member benefit rules, and other agreements and rules;
(3) You claim to voluntarily withdraw from the B.C.C Membership Card due to normal changes in benefit content, services, or functions during the operation of the B.C.C business;
(4) You are unable to enjoy or continue to enjoy the third party's co-branded cooperation benefits due to relevant agreements or rules between you and the third party;
(5) Your violation of laws and regulations or this agreement, fraud or abuse of B.C.C Membership Card rights, acts that damage BaiGolf's interests or harm other users, etc., constitute a fundamental breach of this agreement, making it impossible to continue performing this agreement, resulting in termination.
4.4 If BaiGolf is unable to continue providing you with the B.C.C Membership Card service due to business development adjustments or other reasons, it will notify you to terminate this agreement at least 30 days in advance. If BaiGolf is unable to continue providing you with the service due to its own reasons, BaiGolf will refund you proportionally based on the remaining full months of your membership period.
4.5 The termination of this agreement does not affect the rights and obligations arising between you and BaiGolf under this agreement before termination. If BaiGolf suffers claims from third parties, administrative penalties from government departments, etc., due to your reasons, you shall compensate BaiGolf for the losses incurred and/or expenses incurred, including reasonable attorney fees, investigation and evidence collection fees, etc. If your personal conduct causes damage to BaiGolf's goodwill, BaiGolf has the right to require you to issue a statement in public media to eliminate the impact.
V. No Warranty and Limitation of Liability
5.1 You understand that BaiGolf will make the greatest effort to ensure that this service and the technical and information involved are secure, effective, accurate, and reliable. However, limited by existing technology and BaiGolf's limited service capabilities, you understand that BaiGolf cannot be held liable for direct or indirect losses you suffer due to obstacles, defects, delays, or content changes in contract performance caused by the following reasons:
5.1.1 Force majeure events such as natural disasters, strikes, riots, wars, terrorist attacks, government actions, judicial administrative orders;
5.1.2 Public service factors such as technical adjustments or failures by telecommunications departments, communication network failures;
5.1.3 Failures in the software, system, hardware, or communication lines of the user's own device, or the user using this service in a manner not agreed upon in this agreement;
5.1.4 BaiGolf has managed in good faith, but emergency equipment/system failures/maintenance, network information and data security, etc., occur.
5.2 Based on the principle of consistency between income and compensation and fairness and reasonableness, if the B.C.C Membership Card service is interrupted abnormally or unavailable due to reasons attributable to BaiGolf, the maximum compensation you may receive shall not exceed the total amount of relevant service fees actually collected by BaiGolf under this agreement.
VI. Miscellaneous
6.1 Due to the rapid development of the Internet, the terms listed in this agreement signed by you and BaiGolf cannot fully list and cover all rights and obligations between you and BaiGolf, and the existing agreements cannot fully guarantee meeting future development needs. BaiGolf may modify this agreement from time to time based on changes in national laws and regulations and the need to maintain service order and protect user rights. The modified agreement (hereinafter referred to as the "Changed Matters") will be notified to you through legal or agreed procedures and will take effect according to law.
6.2 BaiGolf may provide different member trials or other temporary member services to specific users. Unless otherwise stated in the specific service, such trial or temporary member services are subject to this service agreement. Trial users may choose (through your account) at any time not to become a B.C.C member upon the expiration of the trial period.
6.3 BaiGolf's failure to insist on or enforce your strict compliance with this agreement does not constitute a waiver of any rights.
